Terms of Service

1. Introduction and Acceptance

Welcome to Global Development Solutions Unlimited, Inc. ("Company", "we", "us", or "our"). We provide a grant management and discovery platform via our website at https://www.grantmanagementmadeeasy.com and our application at https://app.grantmanagementmadeeasy.com (collectively, the "Service").

By registering for an account, accessing, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Service.

Incorporation by Reference: These Terms explicitly incorporate by reference the following policies, which carry the same legal force as if they were set forth herein:

NOTICE REGARDING DISPUTE RESOLUTION: SECTION 14 CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECTS YOUR RIGHTS.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old to use the Service.

2.2 Registration

You agree to provide accurate, current, and complete information during registration, including your name, email, phone number, physical address, and organization type.

2.3 Security

You are responsible for maintaining the confidentiality of your login credentials (including Supabase "Magic Links" or social login tokens). You are fully responsible for all activities that occur under your account.

3. Subscription, Billing, and Payments

3.1 Payment Processing

All payments are processed securely by Stripe, Inc. We do not store full credit card numbers on our servers.

3.2 No Refunds

Except where required by law, all fees are non-refundable. You acknowledge that we are not required to provide a refund for any reason, including unused subscription time.

3.3 Cancellations

You may cancel your subscription at any time via the "Billing" section in the application. Cancellation takes effect at the end of the current billing cycle.

3.4 Plan Limits and Upgrades

If you exceed the limits of your plan (e.g., number of Workplans), older data may be hidden from view until you upgrade. We retain this data and do not delete it solely due to plan limits.

3.5 Chargebacks and Fraud

You agree to contact our support team at support@grantmanagementmadeeasy.com before initiating a dispute with your bank. IF YOU FILE A FRAUDULENT CHARGEBACK (claiming "unauthorized use" or "item not received" when our access logs prove you used the Service):

  1. Your account will be immediately and permanently terminated.
  2. You agree to reimburse us for the disputed amount plus a $250.00 USD administrative fee to cover our costs in contesting the dispute.
  3. We will submit your IP address, access logs, and acceptance of these Terms to Stripe and your card issuer as evidence.

4. User Data and Intellectual Property

4.1 Your Data

You retain ownership of all data, grant proposals, and content you upload to your private workspace ("User Data"). You grant us a limited, non-exclusive license to host, copy, and display this data solely to provide the Service to you.

4.2 AI Usage

We may use Artificial Intelligence ("AI") features within the Service.

  • Isolation: AI models used for your Company workspace access only your User Data and public data. Your proprietary data is never used to train models that generate content for other companies.
  • No Cross-Contamination: We strictly segregate data processing to ensure confidentiality.

4.3 Publicity Rights (Marketing)

You grant us a limited, non-exclusive, royalty-free license to use your organization’s name and logo on our website and marketing materials for the sole purpose of identifying you as a customer. You may revoke this right at any time by sending a written request to support@grantmanagementmadeeasy.com.

5. Proprietary Rights and Grants Explorer

5.1 Our IP

The Service, including its code, architecture, and visual design, is the property of Global Development Solutions Unlimited, Inc.

5.2 The Grants Explorer (Usage Rights)

The "Grants Explorer" feature aggregates data from public IRS Forms 990/990-PF and licensed third-party data providers (including Candid).

  • A. Permitted Use (Yes, you can make money with this): You are encouraged to use the data found in the Grants Explorer to:

    1. Identify and contact potential funders for your organization or your clients.
    2. Incorporate findings into grant proposals and fundraising strategies to generate revenue for your organization.
    3. Provide professional grant consulting services to your clients based on insights derived from the Service.

  • B. Prohibited Restrictions (No, you cannot steal the database): While you may use the insights to generate revenue, you MAY NOT:

    1. Scrape, crawl, spider, or automate the extraction of the raw database structure or content.
    2. Bulk-export the data for the purpose of creating a competing database, directory, or software service.
    3. Resell, sub-license, or redistribute the raw data list itself as a standalone product (e.g., selling a spreadsheet of our data to third parties).
    4. Use AI tools to systematically harvest this data for model training outside of our platform.

  • C. Violation: Violation of the restrictions in Section 5.2(B) will result in immediate termination without refund and may lead to legal action for theft of proprietary compilations.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal purpose.
  • Share your login credentials with individuals outside your organization.
  • Attempt to reverse engineer, decompile, or hack the Service.
  • Attempt to access data belonging to another Company workspace.

7. Third-Party Services

Our Service integrates with third-party providers, including Supabase (authentication/database), Stripe (payments), and Google Analytics. We are not responsible for the availability or accuracy of these third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBAL DEVELOPMENT SOLUTIONS UNLIMITED, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Global Development Solutions Unlimited, Inc. from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, United States, without regard to its conflict of law principles.

12. Dispute Resolution (Arbitration & Class Action Waiver)

12.1 Binding Arbitration

Any dispute arising out of these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida.

12.2 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice within the app. Your continued use of the Service after such changes constitutes acceptance.
